Supervisory Board (ODV)

Fondazione Villa Russiz has established, pursuant to art. 6 of Legislative Decree no. 231 of 8 June 2001, a Supervisory Board (hereinafter "ODV") with autonomous powers of initiative and control, tasked with overseeing the operation, effectiveness and observance of the Organisation, Management and Control Model (MOG 231) adopted by the Foundation, as well as ensuring its updating.
Composition
The ODV is appointed by the Foundation's Board of Directors and remains in office for the term set out in the appointment resolution. The composition of the Board (single-member or collegial) and the names of its members are made available upon request to entitled parties.
Main functions
- Oversee compliance with Model 231 by addressees and stakeholders.
- Verify the effectiveness and adequacy of the Model with respect to predicate offences.
- Ensure the Model is updated by proposing amendments to the Board of Directors.
- Receive and assess reports concerning violations of the Model or the Code of Ethics.
- Periodically report to the Board of Directors on the outcomes of its activities.

Anyone who becomes aware of conduct contrary to Model 231, the Code of Ethics or applicable law may report it to the ODV, confidentially, through the following channels:

- Regular mail in a sealed envelope marked "Confidential – for the Supervisory Board", addressed to: Fondazione Villa Russiz — ODV, Via Russiz 4/6, 34070 Capriva del Friuli (GO), Italy.
- For reports pursuant to Legislative Decree 24/2023, use the Whistleblowing.
The confidentiality of the reporting person's identity and of the information contained in the report is guaranteed, as is the prohibition of retaliatory acts against anyone reporting in good faith.
